No rest around the holidays!
Beneficial Ownership Information (BOI) reporting is back in effect and FinCEN has extended filing deadlines, but only until January 13, 2025, for most companies.
On December 23, 2024, the Fifth Circuit Court of Appeals issued a stay on the district court’s nationwide injunction against the CTA. This stay reinstated the requirement to file BOI, and FinCEN has provided the updated filing deadlines listed below:
- Pre-2024 Existing Companies
Companies created or registered before January 1, 2024, must file their initial BOI reports by January 13, 2025 (instead of the original January 1, 2025, deadline). - Newly Formed Companies with original filing deadlines between December 3-23, 2024
Companies created or registered on or after September 4, 2024, with a filing deadline between December 3 and December 23, 2024, must now file by January 13, 2025. - December 3rd–23rd Newly Formed Companies
Companies created or registered between December 3 and December 23, 2024, have an additional 21 days beyond their original 30-day filing deadline to submit their initial reports. - January 1, 2025, or later, Newly Formed Companies
Companies created or registered January 1, 2025, or later, have 30 days to file their initial BOI reports. This is the same as the original rule for newly formed companies.
